中國建材集團召開2022年公司治理及董事會規范運作培訓會

6月30日,中國(guo)建材(cai)集團召(zhao)開2022年公(gong)司治理(li)及董(dong)(dong)(dong)事會規范運(yun)作(zuo)培訓會。集團黨委書(shu)(shu)(shu)記、董(dong)(dong)(dong)事長,中國(guo)建材(cai)股份黨委書(shu)(shu)(shu)記、董(dong)(dong)(dong)事長周育先作(zuo)《關于(yu)完善(shan)公(gong)司治理(li)的實踐與(yu)思(si)考》主題(ti)報告,集團董(dong)(dong)(dong)事會秘書(shu)(shu)(shu)、總經理(li)助(zhu)理(li),中國(guo)建材(cai)股份黨委副書(shu)(shu)(shu)記、執行董(dong)(dong)(dong)事傅(fu)金光就(jiu)子企業董(dong)(dong)(dong)事會規范運(yun)作(zuo)作(zuo)解(jie)讀。

周育先圍繞厘清黨委、董(dong)事(shi)(shi)會、經理層(ceng)的定位(wei),明確國有資(zi)本投資(zi)公司的管(guan)理邏輯,規范董(dong)事(shi)(shi)會對總經理和(he)二(er)級企業的授權等三個(ge)方面,全面介(jie)紹(shao)了集(ji)團完善公司治理體(ti)系的實踐成果(guo),從治理主體(ti)運(yun)轉(zhuan)質量、董(dong)事(shi)(shi)會運(yun)作、經理層(ceng)行權履職三個(ge)方面,深入剖析了存在的問題(ti),并就厘清三會權責(ze)、推進分類(lei)授權放權、提升(sheng)董(dong)事(shi)(shi)會建設和(he)運(yun)行質量,對下一步工(gong)作提出了要求。

傅金(jin)光詳細講解了(le)(le)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)制度文件體(ti)系、集團對(dui)(dui)(dui)子企業董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)規范運(yun)(yun)作(zuo)(zuo)的(de)具(ju)體(ti)要求、董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)秘書履(lv)職(zhi)(zhi)能力(li)(li)和(he)基(ji)本職(zhi)(zhi)責,以前期調(diao)研(yan)數據為基(ji)礎(chu),對(dui)(dui)(dui)集團和(he)股(gu)份(fen)二級(ji)、三(san)級(ji)企業三(san)會(hui)(hui)運(yun)(yun)作(zuo)(zuo)及董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)功能定位實踐現(xian)狀進(jin)行了(le)(le)分析,并(bing)對(dui)(dui)(dui)全(quan)面(mian)提升董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)運(yun)(yun)作(zuo)(zuo)質(zhi)量(liang)(liang)提出了(le)(le)工(gong)作(zuo)(zuo)建(jian)議。一(yi)是維護好黨委領導作(zuo)(zuo)用,把(ba)握好董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)與黨委權責關系;二是著力(li)(li)推進(jin)規范運(yun)(yun)作(zuo)(zuo),促進(jin)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)高質(zhi)量(liang)(liang)運(yun)(yun)行;三(san)是把(ba)準功能定位,發(fa)揮董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)經營決策主體(ti)作(zuo)(zuo)用;四(si)是加(jia)強董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)隊伍建(jian)設(she)和(he)董(dong)(dong)(dong)(dong)(dong)秘董(dong)(dong)(dong)(dong)(dong)辦力(li)(li)量(liang)(liang),促進(jin)履(lv)職(zhi)(zhi)能力(li)(li)全(quan)面(mian)提升。
培(pei)訓(xun)會(hui)上(shang),集(ji)團(tuan)辦公室(shi)(shi)(董(dong)(dong)事會(hui)辦公室(shi)(shi))主(zhu)(zhu)任董(dong)(dong)昕傳達(da)了國資(zi)委改(gai)革局關(guan)于中央企(qi)業(ye)子企(qi)業(ye)董(dong)(dong)事會(hui)建(jian)設自查(cha)抽(chou)查(cha)等工作情況的(de)(de)有關(guan)通報(bao)精(jing)神。培(pei)訓(xun)會(hui)以(yi)現(xian)場(chang)和(he)視頻的(de)(de)形式進行,共設1個主(zhu)(zhu)會(hui)場(chang)和(he)150個分會(hui)場(chang),集(ji)團(tuan)派出的(de)(de)專職董(dong)(dong)監事、兼職外部董(dong)(dong)事,集(ji)團(tuan)和(he)中國建(jian)材股份三級(ji)及以(yi)上(shang)企(qi)業(ye)的(de)(de)部分班子成員和(he)董(dong)(dong)秘、董(dong)(dong)辦主(zhu)(zhu)任,共500人參加培(pei)訓(xun)。
